USER AGREEMENT


OVERVIEW

The community health unit database software, its web portal, and its mobile application are part of a three-phase health institutional information network system abbreviated as CHUDATS. The database software is abbreviated as CHUDAT, its mobile application is called “Heal the Sick," and its cloud-based web portal is operated through the domain name CHUDATS.NET. CHUDAT inclusively connects to all its sub-domain names in whatever forms are provided, if such are officially preceded by xx.chudats.net, wherein “xx” represents the sub-domain name given and attached to the main domain CHUDATS.NET. Throughout the web portal, its database software, and its mobile application, the terms “we," "us,” and “our” refer to CHUDATS and/or any of its sub-domain links. CHUDATS.NET offers this e-service opportunity website to you, the user (which includes everyone: health structures or units, patients, funders, donors, and supporters) conditioned upon your acceptance of all terms, conditions, policies, and notices stated herein.


CHUDATS offers a dynamic network opportunity for health structures, a unique global methodology for identifying and following up patients, and a facilitated methodology for directing aid to the immediate beneficiary patients and health structures. The current user agreement is meant to elaborate on the Terms of Service between you, the user, and us, CHUDATS. Please read these Terms of Service carefully before accessing or using our offers. By accessing or using any part of us, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not use our database software, web portal, and mobile application or make use of any of the provided services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.


Any new features or tools that are added to us shall also be subject to these Terms of Service. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our website, mobile application, and database software. You have the sole responsibility to regularly check on the updates before usage. It is your responsibility to check this page periodically for changes, and your continuous usage constitutes acceptance of those updates.


NB. CHUDATS is a patent invention initiative by Dr. Kelly NGYAH protected by the African Intellectual Property Organisation (AIPO / OAPI) with PV No. 1202200504 of 01/12/2022. It institutes globally unique identification codes to consulting patients, facilitates inter-health structures communication and exchange procedures, and promotes supportive donations across the globe. It also provides a medium to seek and directly assist vulnerable community health structures and patients through special health credits accruing mechanisms using the Heal Cash insurance measures of the innovative humanity currency. CHUDATS has been realised under the patronage or parenthood of the non-governmental organisation Modern Advocacy Humanitarian Social and Rehabilitation Association (MAHSRA) and the incorporation MAHSRA INCORPORATE CO LTD.

SECTION 1 – CHUDATS USAGE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or country of residence, or that you are at the age of majority in your region, province, or country of residence, and you have given us your consent to allow any of your minor dependents to use this site and the rest of our products.


You may not use our services for any illegal or unauthorised purpose, nor may you, in the use of our services, violate any laws in your jurisdiction (including but not limited to copyright laws).


You must not transmit any worms, viruses, or any code of a destructive nature.


A breach or violation of any of the Terms will result in the immediate termination of your services.


SECTION 2 - GENERAL CONDITIONS


We reserve the right to refuse access to our CHUDATS services to anyone for any reason at any time.


You understand that your content (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks and (b) changes to conform to and adapt to the technical requirements of connecting networks or devices. Credit card and other mobile financial transaction information is always encrypted during transfers over networks.


You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service or any contact on CHUDATS through which the service is provided, without express written permission by us.


SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION


We are not fully responsible if the information made available on CHUDATS is not accurate, complete, or current. The material on this site is provided for technical and general information with respect to CHUDAT, chudats.net, and “Heal the Sick” mobile app service needs. All users are advised to provide the most accurate identity information in a consistent manner in order to avoid system data duplication and error processing. Our services may retain historical information for referential purposes. However, we reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on CHUDATS platforms. You agree that it is your responsibility to monitor the changes we make.


SECTION 4 – CHUDATS SUBSCRIPTION AND USAGE MODALITIES

Engagement with our services and products is determined at three interactive levels that are distinguished accordingly:

  1. The health unit or hospital engagement procedure. We provide a subscription application or sign-up page where owners of health structures or hospitals can apply or subscribe to be admitted into CHUDATS. Such subscriptions interview the applying health structure and request for official establishment documents that are studied by our team. Only when our team has assessed the veracity and CHUDAT’s feasibility for the applicant's health institution will it make a decision to contact the applicant for further arrangements. We have no obligation to contact any applying or subscribing health institution until we deem it qualified or ready to use our services. After contacting any applicant or subscribing health institution, it still remains at our full discretion to decide whether to continue or reject any further negotiations with the applicant. Subscribing health institutions should be aware that we may make it a priority to conduct on-premise assessment visits before making any further continuance decisions. A successful applicant health institution will therefore sign a memorandum of understanding (MOU) with us, be apportioned a unique CHUDATS health unit’s institutional code, and have the CHUDAT on-premise ERP software installed in its management computer(s).

  2. The web portal CHUDATS.NET engagement procedures. Serving as a medium for networking information across different health units that are engaged with CHUDAT, the web portal or cloud-based ERP system offers the opportunity for accredited agents/workers, registered doctors, CHUDATS-identified patients, and zonal health institutional administrators to login and access and/or update information from all other engaged health institutions within CHUDATS. Usage of CHUDATS.NET is subject to a number of additional paid offers and services that shall be decided between the engaging health structure or institution and us. The portal or website also offers information about community projects currently approved for public donations through CHUDATS, and all processes shall be subject to these Terms of Service.

  3. The mobile application “Heal the Sick” is introduced as a public or other accredited user- facilitated medium for accessing and engaging with the CHUDATS services and more. Usage of the mobile app shall be subject to the provisions of these Terms of Service.


SECTION 5 - MODIFICATIONS TO THE SERVICE AND PRICES


The Community Health Unit Database programme is licenced software at the base of CHUDATS. The pricing for its usage licence is determined between us (the service provider) and the user health structure (the client). Such licences are subject to annual renewable fees agreed upon by the contracting parties through an initial Memorandum of Understanding (MOU). However, such renewable fees are subject to modification at any time after due written notice has been forwarded to the client health structures.


In case of unforeseen irregularities, we reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.


We shall not be liable to you, the user, or to any third-party for any modification, price change, suspension, or discontinuance of the Service.

SECTION 6 - OPTIONAL TOOLS


We may provide you with access to third-party tools over which we do not monitor or have any controls or input.


You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.


Any use by you of optional tools offered through our platform is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).


We may also, in the future, offer new services and/or features through CHUDATS products (including the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.


SECTION 7 - THIRD-PARTY LINKS


Certain content, products, and services available via our CHUDATS services may include materials from third parties.


Third-party links on our web portal (chudats.net) and mobile application (Heal the Sick) may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy, and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.


We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.


SECTION 8 - PERSONAL INFORMATION

Your submission of personal information through CHUDATS (including the database software, the web portal, and the mobile application) is governed by our Privacy Policy.


SECTION 9 - PROHIBITED USES

In addition to other prohibitions as set forth in these Terms of Service, you are prohibited from using our CHUDATS products (CHUDAT, chudats.net, “Heal the Sick” mobile app, and their corresponding sub-domains and affiliations) or their contents:

  1. for any unlawful purpose;

  2. to solicit others to perform or participate in any unlawful acts;

  3. to violate any international, national, regional, or local regulations, rules, laws, or local ordinances;

  4. to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

  5. to submit false or misleading information;

  6. to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service, Product, or of any related website, other websites, or the Internet;

  7. to collect or track the personal information of others;

  8. to spam, phish, pharm, pretext, spider, crawl, or scrape;

  9. for any obscene or immoral purpose; or

  10. to interfere with or circumvent the security features of the Service, Product, or any related website, other websites, or the Internet.


    We reserve the right to terminate your use of our services or any related websites and products for violating any of the prohibited uses.


    SECTION 10 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY


    We do not guarantee, represent, or warrant that your use of our services will be uninterrupted, timely, secure, or error-free.


    We do not warrant that the results that may be obtained from the use of our services and products will be accurate or reliable.


    You, the user, agree that from time to time, as the need arises, we may hold our services for indefinite periods due to repairs and other irregularities, or, at worst, cancel the service at any time, without notice to you. However, we will do well to inform our users in time if a formal decision to cancel any or all of our services is reached, but we cannot guarantee that every one of our site’s users will be able to access the notice in their own time.


    You expressly agree that your use of, or inability to use, our services is at your sole risk. Our Community Health Unit Database Networking System CHUDATS’s products and services and other third-party services delivered to you through CHUDAT, chudats.net, and the “Heal the Sick” mobile app, and its official sub-domains (except as expressly stated by us), are provided 'as is' and 'as available' for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of infallibility, regularity, perfection, durability, title, and non-infringement.


    Outside our traditional agreements or MOU entered with our client health structures and medical consultants, in no case shall CHUDATS, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation on lost profits, lost revenue, lost savings, loss of data, replacement

    costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of CHUDATS services. However, because some regions or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such regions or jurisdictions, our liability shall be limited to the maximum extent permitted by law. Users of our services are specifically advised to proceed with caution before choosing published medical consultants on our system, for we may only ascertain the professional qualification of profiled consultants on our system but we cannot predetermine the output of their consultation processes with the users. Thus, none of our personnel or corporate ownership bodies shall be responsible for whatever outcomes arise between profiled consultants and users. All worries in this regard should be forwarded to issues@chudats.net for mutually comprehensive solutions.


    NB. All users of our products and services are advised to ascertain their knowledge about CHUDATS and its affiliates. We shall not be liable for a user’s ignorance and/or error about the contact information of our offices and further illegitimate transactions regarding CHUDATS and its various online health credit-making opportunities for subscribed health structures and registered patients. Meanwhile, we do our best to ascertain the veracity of all subscribed health units and registered patients within CHUDATS; funder/donor users are also advised to ensure that they choose the right web portal (chudats.net) and mobile application (“Heal the Sick"), which are in conformity with the information they see on the website chudats.net.


    SECTION 11 – INDEMNIFICATION


    You agree to indemnify, defend, and hold harmless CHUDATS and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party..


    SECTION 12 – FINANCIAL / DIGITAL MONETARY TRANSACTIONS


    NB. CHUDATS is developed in corresponding reflection and innovative uniqueness of a unifying currency that can best serve its purpose for healing physiological, physiognomic, and psychological human and community health issues. Its introduced health credit system is designed to accept and process service payments through its digital currency: heal coins, heal cash, or health cowries. CHUDATS’s registered health units, patients, and other users shall obtain heal cash wallets through which receiving or sending monetary assistance or health credits are converted, used, and/or saved as health coins within the wallets.


    1. Goal of Financial Involvements


      1. CHUDATS provides the online opportunity for users in the capacity of funders or donors (individuals or organisations) to seek or search the provided health structures or health units and patients in need from the database (CHUDAT) and offer digital monetary aid to their chosen targets through chudats.net and the “Heal the Sick” mobile app.

      2. CHUDAT provides digital aid reception wallets, accounting dashboards, or cards pertaining to the health structure or health unit and patients receiving the digital monetary assistance in the form of health credits received in heal coins, heal cash, or health cowries.

      3. CHUDAT provides specific health structure personnel permissions for deducting and adding health credits to the various credit dashboards or wallets pertaining to the purpose for which it has been introduced.

      4. CHUDAT also envisages providing heal cash liquidity in the form of paper notes or scratching cards that may be usable once or more for settling health bills.

      5. CHUDATS provides specific categories of digital money reception into the health cash dashboards or wallets for patients and that of the health structure.

    2. Health Credits Categories

      1. Health credits in category “A” are addressed as public support credits and are received as digital money aid from CHUDATS product and service users, meant to settle patients’ health bills within health structures and generated with the consent of the patient.

        Category “A” patient health credits are instituted through two mechanisms: (1) the signed or recorded consent of a patient or legitimate guardian that has a milder alert function within the mobile application; (2) the emergency alert option with consent from the patient’s guardian or at the discretion of the health structure in a situation where the patient is facing a life-and-death emergency issue, thereby generating high alert pop-ups within the mobile app and its reflective regional user preferences and geo-specificities.

      2. Health credits of category “B” are addressed as private support credits and are received as digital money aid from CHUDATS products’ and services’ users and also from direct deposits made by patients and/or third parties into the patient’s category B private support credits, meant to settle patients’ health bills within health structures, and generated with the consent of the patient, guardian, or funder/donor.

      3. Health Credits in category “C” are addressed as Health Structural Support Credits and are received as digital money aid from CHUDATS products’ and services’ users, meant for addressing the exposed needs of the requesting CHUDATS licenced health structure..

    3. Health Credits Usage and Accountability

      1. Patients with categories A and B health credits are able to login to the Chudats.net web portal, patient panel, and mobile application with their unique patient identification codes in order to view their health credits dashboard, cash wallet, or card inputs and usages.

      2. The management of concerned health structures with category “C” credits is able to login through their CHUDAT accounts or the web portal in order to view and manage their heal cash wallet input and usage.

      3. Category “C” credit users are obliged to provide satisfactory feedback or reports to online donors or funders when requested, without which we may be forced to suspend or sanction the defaulting client health structure.

    4. Conditions for CHUDATS Health Credit Usage

      All health credits received through or within CHUDATS are non-convertible or cannot and should not be converted into any sort of liquidation for any patient’s compensation.

      Failure to comply may lead to very severe sanctions on the defaulting health structure, which may further lead to the termination of services and prosecution. However, based on the humanitarian assistance goals and structuring of CHUDATS, the following strict measures are imposed for using CHUDATS’s health credits (heal coins, heal cash):

      1. Category “A” health credits can be transferred to a maximum of two (2) immediate CHUDATS registered patient family members with the written consent of the patient in question only. In default or in case of additional balance credits after treatment of the concerned patient and/or immediate benefiting family members, the concerned health unit or requesting health structure automatically inherits the responsibility of transferring or using the balance category “A” health credits to other critical patient health issues with similar illnesses, and such cases must have as well opted for or consented to a Category “A” health credit benefiting status.

      2. Category “B” health credits are only transferable with the consent of the patient, the legitimate guardian, or the funder or donor. Its private support nature makes it a closed healthcare insurance saving opportunity within CHUDATS. At the moment of making a CHUDATS category “B” health credit, the physical or digital money depositor is presented with the options for his or her preferred third-party beneficiaries, who must be at the time, or later-on, registered with the CHUDATS patient database. Online donor or funder consents to use category “B” input credits that are registered against the credit issuance data for references, and physical deposit consents are registered at the concerned health unit or requesting health structure. Only with such verifiable consent information will CHUDATS management be able to release the financial resources to the consuming health unit or health structure. For facilitated transactions, the usage of category B credits labelled as HEAL CASH RESERVE is initiated by the concerned patient, and it credits the concerned health facility’s account. Issues with respect to payments to health structures and other community projects are addressed to credits@chudats.net.

      3. Category “C” health credits are usable at the discretion and originating motives of the requesting or receiving health unit or health structure. However, donors or funders of category “C” credits are given priority privileges to request and understand how their aid measures up to the immediate request of the benefiting health facility.

      4. In all three categories (A, B, and C), the CHUDATS-generated health credit usages are subject to periodic general auditing procedures, which all benefiting health structures must comply with.

    5. CHUDATS General Billing Policy

      The usage of our system shall be initially offered in an equalitarian way to all interested or engaging health institutions. However, because of the exceeding exigencies of certain health structures that desire more usage space and data management, besides the health units’ user-incurred annual system licence, we have included special minimal annual payment plans for additional needs per health institution as measured in digital backup space usage and increased personnel management requirements. There is also a minimal charge for patients’ EMR record updating processes.

    6. Physician/Doctor to Patient Consultation Billing Policy


      1. Self-booking of appointments. We permit you to sign up or login to our web portal and mobile application after providing your identification or requested information. After logging in, you are given categorical choices on different health issues and health practitioners that are registered for e-consultation within the “Heal the Sick” mobile app. Your choice and availability of a health physician or health practitioner will determine your billing model.

      2. Consultancy payments. Once you have successfully booked an appointment with your chosen health expert, you are directed to make payments in order to confirm your appointment with the chosen health expert. Such payments are non-refundable; however, in cases of emergencies where a health expert may become unavailable on the appointment date, a new date is arranged and agreed upon between the concerned parties. In extreme cases where the booked health expert may become totally unavailable, we will provide you with alternative choices to choose another available health expert for the same already-deducted charge.

      3. Medical Reports Update. After medical diagnosis, the patient medical history will require an update. Such updates are saved as draft across the medical process but when it becomes finalised a minimal charge shall be imposed before the update process is completed. However, such charges will not apply when an appointment was booked and duly paid towards the concerned diagnosis process.

      4. Billing Disputes. If you believe we have charged you in error, you must notify us or our authorised payment processor in writing no later than 48 hours after you receive the notice of charge deduction from your account. You must submit any such disputes, including all the digital transaction details, to the email address: issues@chudats.net. Please include a detailed statement describing the nature and amount of the disputed charges. We will investigate and correct any mistakes made that are liable to our human services and add or credit them against your future payments.

      5. No Refunds. Payments are non-refundable, and there are no refunds or credits for partial or full payment attempts, except that we may approve a refund in the form of a credit on request if exceptional circumstances exist. If you believe exceptional circumstances exist, please email us at issues@chudats.net and explain the circumstances that you believe merit a refund. We are not making any promise that we will give you a refund. If we give you a refund, we will issue the refund in the form of free services or a credit to the payment method you used for your appointment booking. We will not make refunds in the form of cash or checks. The provision of a refund in one instance does not entitle you to a refund in the future for similar instances, nor does it obligate us to provide refunds in the future under any circumstances.

      6. Appointments and Consultancy Discrepancies. While maintaining our No Refunds policy, we acknowledge the possibility of incongruities and/or conflicts arising from the system’s users failing to meet their obligations. In such cases, the following will govern the discrepancies:

        • Approved health experts and other consultants using our system and our heal cash wallet shall be obliged to maintain a minimum amount of balance in their wallets. Such amounts shall be decided at our discretion, depending on the transaction scale of the consultants, and shall act as a security measure for contingencies. This implies that, at the request for

          payments, the account balance of the requesting expert or consultant must meet our assessed retention value.

        • When a system user books an appointment with an approved consultant, in the case of a reschedule before 48 hours of the appointment time, such a reschedule shall be approved without any consequential charges. In the event of a reschedule within 48 hours of the appointment time, if the reschedule is requested by the applicant, minimal charges will apply. In the event of a reschedule request made by the consultant before 24 hours of the appointment time, no charges shall apply for both parties. However, if the consultant makes a reschedule within 24 hours of the appointment time, minimal charges will apply. The appointment applicant is free to reschedule or cancel a confirmed appointment 48 hours before, while the booked consultant is free to do the same 24 hours before the due appointment time.

        • When an approved health expert or consultant fails to attend a confirmed, non-rescheduled, or non-cancelled appointment, some penalty charges will be applied. When an applicant fails to attend a confirmed, non-rescheduled, or non-cancelled appointment, the consultant shall be partly compensated, and the applicant shall incur some penalty charges. The penalty charges and compensation amounts shall be decided at our discretion.

    7. Other Donation Opportunities

In order to further assist the psychologically sick (promoting mental health) within society, CHUDATS also provides the opportunity for receiving applications, investigating veracity, and registering social care structures such as orphanages, IDP centres, refugee camps, etc. The needs of such centres are profiled, and a general room for user donations is created.

Considering the humanitarian scope of CHUDATS, classified and sensitive communities need projects that can boost mental health and rebuild social cohesion that may be brought up periodically within the system to obtain financial aid.

All supported programmes and their structures are liable to resource usage accountability in favour of the funders or donors and other general auditing procedures.


SECTION 13 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.


These Terms of Service and any policies or operating rules posted by us on this platform or with respect to the CHUDATS constitute the entire agreement and understanding between you and us and govern your use of our services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).


Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.


SECTION 14 - GOVERNING LAW

International online safeguards and the implementing country’s national legislative texts


For judicial forum legal disputes, you agree that any claim or dispute that has arisen or may arise between you and Chudats.net must be resolved exclusively in the court of first instance or the High Court of the CHUDATS’s headquarters in Cameroon or that of any other country that is using or duly involved in the CHUDATS initiative.

You can review the most current version of the Terms of Service at any time on this page.


We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our platforms. It is your responsibility to check our website periodically for changes. Your continued use of or access to CHUDATS products and services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
